souvik.gis
After converting DWG to shap the lines will always be lines as Autocad don't support polygon in GIS concept. Just use Feature to polygon tool in arcgis tool box to make the closed line to polygon inside Arcgis.

souvik.gis
Is it contain raster or vector? What is the coordinate you have used? UTM or any else. If it is UTM then just assign coordinate to the converted shape file it will automatically accept the coordinate.
willywang
Try SuperGIS Desktop. It has utility of converting dwg to geo file, Data convertor. The output is geo file. It can be converted as shape file.

madmaciora
If you are doing in arcgis: 1. check topolgy, if errors repair them . 2. Use feature to polygon tool. (this tool converting CAD annotations as labels if needed) 3. Enjoy

Capricorn
Civil 3D and Map 3D have problem with conversion to shp files, if you want to open them in ArcView GIS or ArcGIS. The first time the theme is opened with no problems in ArcView or ArcGIS, but when you close those ESRI applications, shp becomes corrupt. The last working shp export is the one from Map 2004. I didn't test this operation in Map 3D (or Civil 3D) versions 2015 and 2016. Edited December 22, 2015 by Capricorn
